PintUp Business Terms

These Business Terms apply to the business customer that creates an owner account for, subscribes to, or otherwise uses PintUp in connection with a cafe, restaurant, bar, pub, club, or similar venue (the Establishment, you, your). PintUp is operated by Geltzo Limited (the Provider, we, us, our).

2. Acceptance
By creating an owner account, subscribing, using PintUp, or permitting staff to use PintUp in connection with your premises, you agree to these Business Terms. If you do not agree, do not use PintUp.
3. Definitions
- Customer: a patron who uses PintUp to collect stamps or redeem rewards for your establishment.
- Loyalty Scheme: the rules and rewards you configure in PintUp for your establishment.
- Reward: any benefit you offer to customers (for example, a drink, pint, food item, discount, or other item).
- Token: a customer entitlement shown in PintUp that may be redeemed for a Reward, subject to your scheme rules and lawful operation.
- Bar Device: a device paired to your establishment used by staff to issue stamps or redeem Tokens.
- Fees: subscription and other charges payable by you for PintUp.
4. What PintUp is (and is not)
PintUp provides software tools that help you run a digital loyalty scheme. PintUp does not supply alcohol, does not provide Rewards, and is not the promoter of your promotions. You are solely responsible for the design, marketing, operation and fulfilment of your Loyalty Scheme and Rewards.
5. Your responsibilities
You must:
- ensure your Loyalty Scheme and Rewards comply with all applicable laws, regulations, licensing conditions, codes, and guidance in the jurisdiction where your premises operates;
- ensure staff are trained and operate PintUp responsibly, including refusing service where appropriate;
- operate appropriate age verification and comply with all restrictions on sales and promotions to under-18s;
- honour Rewards in accordance with the rules you present to customers, subject to lawful operation and your right and duty to refuse service where required;
- keep your account access, Bar Devices, and any PINs, passwords or device access mechanisms secure and controlled.
6. Alcohol promotions, responsible retailing, and jurisdiction warnings
Alcohol promotions are regulated and may be restricted or prohibited depending on jurisdiction and the specific mechanics of the promotion. England and Wales include mandatory licensing conditions relating to irresponsible promotions.Source.
Scotland has statutory provisions concerning "irresponsible drinks promotions", which can include supplying alcohol free of charge or at a reduced price on the purchase of one or more drinks.Source.
Northern Ireland also prohibits certain irresponsible drinks promotions.Source.
You are solely responsible for ensuring your use of PintUp, and your Loyalty Scheme and Rewards, comply with applicable law in your jurisdiction. We do not provide legal advice and we do not warrant that any Loyalty Scheme configuration is lawful in your location.
6.1 Prohibited and high-risk promotion examples (illustrative only)
You must not use PintUp to run unlawful or irresponsible promotions. Examples that are commonly high-risk or prohibited in some jurisdictions include:
- promotions that encourage rapid or excessive consumption;
- unlimited alcohol for a fixed price;
- promotions supplying alcohol free of charge or at a reduced price in a way that breaches local rules (including in Scotland);
- any promotion targeted at, or likely to appeal largely to, under-18s.
Marketing communications that include a promotion must not imply, condone or encourage excessive consumption of alcohol (ASA CAP Code 18.10).Source.
7. Customer contract and disputes
Any Reward is offered and provided by you. Any dispute about fulfilment, refusal of service, eligibility, or the nature of a Reward is between you and the Customer. PintUp may display scheme status and Tokens, but we are not responsible for your fulfilment decisions or compliance obligations.
8. Configuration and controls
PintUp may provide configuration settings (for example, stamp thresholds, expiry periods, and any limits you apply). You must configure and operate these responsibly. You remain responsible for how Rewards are offered and served, including refusing service where required by law or good practice.
9. Subscription, fees, and changes
Pricing: £15 per month per establishment (unless stated otherwise in-app), plus VAT if applicable. Fees and features may change with notice. Unless we state otherwise, changes take effect from your next billing period after notice. You authorise us (and our payment processor) to take payments according to your chosen plan.
We may offer trials, promotional pricing, or referral credits. Referral credits have no cash value, may be varied or withdrawn, and apply only as described in-app (if at all).
Fees are non-refundable except where required by law.
10. Stripe and billing portal
We use Stripe to process payments and provide a customer billing portal. Invoice downloads and billing management are available through that portal. Your use of Stripe may be subject to Stripe's terms.
11. Suspension and termination
We may suspend or terminate your access immediately if we reasonably believe that:
- your use may breach law or licensing conditions;
- your use may promote irresponsible drinking or unsafe practices;
- there is suspected fraud, abuse, or security risk;
- fees are overdue or payment fails.
You may cancel according to the subscription controls available in the billing portal, subject to any trial or billing terms shown at the time of purchase.
12. Data protection
Customers will interact with PintUp in connection with your Loyalty Scheme. You and we may each process Customer personal data for our respective purposes. Please ensure you have appropriate privacy information for your customers. If you use Customer details for marketing, you are responsible for ensuring you have a lawful basis and providing required notices and opt-outs. 13. Intellectual property
PintUp and all related software, branding, and content are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use PintUp during your subscription.
14. Warranties and disclaimers
PintUp is provided on an "as is" basis. We do not warrant that PintUp will be uninterrupted or error-free, or that any Loyalty Scheme configuration will be lawful in your jurisdiction.
15. Limitation of liability
Nothing in these Business Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.
Subject to the above, our total aggregate liability to you (whether in contract, tort including negligence, misrepresentation, restitution or otherwise) arising out of or in connection with PintUp is limited to the Fees paid by you to us in the 3 months immediately preceding the event giving rise to the claim.
We are not liable for indirect or consequential loss, loss of profits, loss of goodwill, loss of business, or loss of data, to the extent permitted by law.
16. Indemnity
You will indemnify and keep indemnified Geltzo Limited against all claims, liabilities, regulatory actions, fines, penalties, losses, and expenses (including reasonable legal fees) arising from or connected with:
- your Loyalty Scheme or Rewards (including alcohol service and fulfilment decisions);
- your breach of law, licensing conditions, or advertising rules;
- acts or omissions of your staff, agents, or customers in connection with your use of PintUp;
- your marketing or promotion of the Loyalty Scheme.
17. Notices
We may send notices to you by email to the owner email address associated with your account. You should ensure that address is kept up to date.
18. Entire agreement, severability, and assignment
- Entire agreement: these Business Terms are the entire agreement between you and us regarding PintUp.
- Severability: if any part is unenforceable, the remainder continues in effect.
- Assignment: we may assign our rights and obligations. You may not assign without our written consent.
- Third party rights: no third party has rights under these Business Terms.
19. Governing law
These Business Terms are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory local rights that cannot be excluded by contract.
20. Changes
We may update these Business Terms from time to time. If changes are material, we will provide reasonable notice in-app or by email where practicable. Continued use of PintUp after changes take effect constitutes acceptance.
